• "Agreement" refers to these Terms & Conditions together with any service engagement letter or contract.

2. Acceptance of Terms

By engaging our services, accessing our website, or submitting an inquiry, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please discontinue use of our services immediately.

These Terms & Conditions constitute a legally binding agreement between you and Vossalin. You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services.

• Board of Investment (BOI) promotion certificate assistance

• Regulatory compliance guidance
• Post-registration support

Service availability may vary based on regulatory requirements and specific client circumstances. We reserve the right to decline service engagements that do not align with our professional standards or legal compliance obligations.

4. Client Responsibilities

As a client engaging our services, you agree to:

• Provide accurate, complete, and truthful information required for service delivery
• Submit all requested documentation in a timely manner
• Respond promptly to requests for clarification or additional information
• Maintain confidentiality of login credentials for any client portals
• Inform us of any changes to provided information that may affect service delivery
• Comply with Thai laws and regulations governing business operations
• Pay service fees according to agreed payment terms

Failure to meet these responsibilities may result in service delays, additional fees, or termination of the service agreement.

5. Intellectual Property

• Full payment is due upon completion of service unless otherwise agreed in writing
• Payments can be made via bank transfer to our designated account
• Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by law

Government fees for company registration, license applications, or other official submissions are separate from our service fees and must be paid as required by relevant authorities.

Refund Policy

Deposits and fees paid for services already commenced are generally non-refundable. If a government authority rejects an application due to factors beyond our control, we are not obligated to refund service fees already earned. We will discuss options for resubmission or alternative approaches on a case-by-case basis.

7. Service-Specific Terms

Corporate Registration Services

Company registration timelines are estimates based on typical Department of Business Development processing times. Actual timelines may vary due to government workload, document review requirements, or other factors outside our control. We will keep you informed of application status but cannot guarantee specific completion dates.

Foreign Business License Applications

Foreign Business License approval is subject to review and decision by the relevant government committee. We provide application preparation and submission support but cannot guarantee license approval. Our service fees cover professional guidance regardless of application outcome.

BOI Promotion Certificate Assistance

BOI promotion certificate eligibility and approval are determined by the Board of Investment based on their criteria and review process. We assist with application preparation and submission but do not guarantee certificate approval or specific incentive terms.

8. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive to provide accurate and current information:

• We make no warranties regarding the outcome of government applications or regulatory approvals
• We do not guarantee specific business results, profits, or success from using our services
• Information on our website is for general guidance and may not reflect current regulatory changes
• We are not a law firm and do not provide legal advice; complex legal matters should be referred to qualified attorneys

Clients are responsible for making their own business decisions and should seek independent professional advice where appropriate.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Vossalin's total liability for any claims arising from our services shall not exceed the amount of fees paid by the client for the specific service engagement giving rise to the claim.

We shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or goodwill
• Delays or failures caused by government authorities or third-party service providers
• Errors or omissions in information provided by the client
• Changes in laws or regulations affecting your business after service completion

10. Indemnification

You agree to indemnify and hold harmless Vossalin, its employees, and contractors from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms & Conditions, or violation of any law or regulation.

11. Termination

Either party may terminate a service engagement under the following conditions:

• By mutual written agreement
• For material breach of these Terms & Conditions (with 14 days written notice to cure)
• If providing the service becomes unlawful or impractical

Upon termination:

• The client remains responsible for payment of fees for services already provided
• We will provide copies of work completed to date
• Confidentiality obligations continue indefinitely
• We are not obligated to continue work on incomplete applications or registrations

12. Dispute Resolution

These Terms & Conditions are governed by the laws of Thailand. The courts of Bangkok, Thailand have exclusive jurisdiction over any disputes arising from these terms or our services.

Before initiating formal legal proceedings, parties agree to attempt resolution through good faith negotiation. If negotiation is unsuccessful within 30 days, either party may pursue legal remedies.

13. General Provisions

Entire Agreement

These Terms & Conditions, together with any service engagement letter or contract, constitute the entire agreement between you and Vossalin regarding our services.

Severability

If any provision of these Terms & Conditions is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure to enforce any provision of these Terms & Conditions does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights or obligations under these Terms & Conditions without our written consent. We may assign our rights and obligations to a successor entity.

14. Changes to Terms
